About me

Priya Raman is a partner in the Tax team, advising on the tax structuring of mergers, acquisitions, private equity investments and reorganisations. She works on both buy-side and sell-side mandates, with a focus on management rollovers, acquisition structures and the tax treatment of transatlantic holding structures.

Priya is a Chartered Tax Adviser and works closely with the firm's US tax colleagues so that UK and US positions are settled together rather than in sequence. She is regularly asked to advise sellers and management teams on the tax consequences of rollover equity and incentive arrangements.

Priya studied law at the University of Bristol, where she now mentors law students through the alumni network. She runs in the Lake District whenever she can.

Selected experience:
- Advised on the UK tax structuring of a US sponsor's acquisition of a UK software group, including management rollover.
- Advised the founders of a healthcare services business on a partial exit and reinvestment alongside a new sponsor.
- Obtained HMRC advance clearance for a share-for-share exchange in a cross-border reorganisation.
